Welcome to FRNHQ. These Terms of Service (the "Terms") govern your access to and use of the FRNHQ website and application (the "Service"). The Service is operated by Cornerstone Digital Ventures LLC, an Alabama limited liability company doing business as FRNHQ ("FRNHQ", "we", "us"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" includes it. If you do not agree, do not use the Service.
FRNHQ is offered under paid subscription plans and, for some accounts, invitation-based beta access. The Service is provided on an as-is and as-available basis and may change, be interrupted, or be discontinued at any time without notice. Features labeled beta, preview, or early access are offered for evaluation and may be modified or withdrawn. Features, data, and availability are not guaranteed.
The Service is intended for business use by people 18 or older. Access requires an account, provided through our authentication provider, and accounts belong to an organization. Each plan includes a set number of seats; each seat is for one named person, and credentials may not be shared or rotated among people beyond your plan's seats. You are responsible for the activity that occurs under your organization's accounts and for keeping credentials secure. Access is granted by subscription or invitation and may be modified or revoked as described in these Terms.
We may offer a free trial (currently 14 days at the Intelligence level). No payment method is required to start a trial, and you will not be charged automatically when it ends: when a trial expires, access simply ends unless you choose to subscribe. Trials are limited to one per organization, and we may modify or end trial offers at any time. Some features (such as data export) may be limited during a trial.
You agree not to: (a) resell, redistribute, or commercially exploit the Service or its data except as expressly permitted; (b) scrape, harvest, or bulk-export data other than through features we provide; (c) access the Service with automated scripts, bots, or other programmatic means, or circumvent rate limits or other access controls; (d) reverse engineer or attempt to gain unauthorized access to the Service; (e) use the Service to violate any law or the rights of others; or (f) interfere with the operation or security of the Service.
FRNHQ presents information derived from publicly available E-Rate and Rural Health Care program data published by the Universal Service Administrative Company (USAC). FRNHQ is an independent product and is not affiliated with, endorsed by, or sponsored by USAC or the FCC. The information is provided for general informational purposes, may contain errors or omissions, may lag the underlying source, and is not professional, legal, or financial advice.
Some figures in the Service are derived estimates computed by our own methodology rather than values published by USAC, including re-bid windows, Category 2 budget estimates, incumbency determinations, and invoice and money-at-risk signals. These are analytical aids, not guarantees. You are responsible for independently verifying any information before relying on it, and business decisions you make based on the Service are your own.
The Service, including its software, design, and original content, is owned by FRNHQ and protected by applicable laws. Underlying public program data remains subject to its own terms of availability. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription or authorized access period. If you send us feedback or suggestions, we may use them without obligation to you.
Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY at the end of each billing period at the then-current rate unless you cancel before the renewal date. You can cancel at any time from the Billing page (Manage billing), using the same online account you used to subscribe; cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial billing periods. Prices do not include taxes; you are responsible for any applicable taxes unless we are required to collect them. We may change prices with at least 30 days' notice; changes apply from your next renewal. Failed payments may result in suspension of access until payment is resolved.
THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRNHQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRNHQ'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS.
You will defend and indemnify FRNHQ against claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service in violation of these Terms or of applicable law.
We may suspend or terminate your access at any time, including for violation of these Terms. You may stop using the Service at any time; if you have a paid subscription, see Section 7 for how cancellation works. Sections that by their nature should survive termination (including Sections 5, 6, 8, 9, 10, and 13) survive.
We may update these Terms from time to time. Material changes will be reflected by updating the date above, and for significant changes affecting paid subscriptions we will make reasonable efforts to notify you (for example by email or an in-app notice). Continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Alabama, United States, without regard to its conflict-of-laws principles. The state and federal courts located in Alabama will have exclusive jurisdiction over any dispute arising from these Terms or the Service, and you consent to their personal jurisdiction.
These Terms are the entire agreement between you and FRNHQ regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
